License Agreement

This License Agreement (“Agreement”) is a legal contract between Skyfall Audio (“Licensor,” “we,” “us,” or “our”) and you (“Licensee” or “you”) regarding the use of audio samples, loops, one-shots, presets, MIDI files, and other content (“Content”) purchased or downloaded from the Skyfall Audio website.

By purchasing, downloading, accessing, or using any Skyfall Audio Content, you agree to be bound by the terms of this Agreement.

1. Grant of License

Skyfall Audio grants you a non-exclusive, perpetual, worldwide, royalty-free license to use the Content in your commercial or non-commercial music compositions, soundtracks, performances, and other creative works (“Projects”).

You may:

Use the Content in unlimited Projects.
Monetize your Projects without paying Skyfall Audio royalties.
Modify, edit, mix, process, and incorporate the Content into your own original works.
Release Projects on streaming platforms, films, TV, radio, games, podcasts, advertisements, live performances, and more.

2. Restrictions

You may NOT:

Resell, redistribute, share, or sublicense the raw Content in any form (even if modified).
This includes distributing samples on their own or inside other sample packs, preset packs, or standalone sound libraries.
Use the Content in any product whose primary value is the audio content itself, such as:

Sample packs
Loop packs
Preset banks
AI training datasets
Sound libraries

Claim ownership of the original raw samples.
Use Skyfall Audio branding, artwork, or trademarks without permission.

You MAY sell or distribute Projects that incorporate the Content as long as the Content is not isolated, extractable, or intended to function as raw audio samples.

3. Ownership

All Content remains the sole property of Skyfall Audio.

You obtain a license to use the Content, not ownership of the Content itself.

4. AI and Machine Learning

The Content may not be used to train AI models, machine learning systems, or algorithms unless you obtain explicit written permission from Skyfall Audio.

5. No Warranty / Limitation of Liability

All Content is provided “as is” without warranties of any kind. Skyfall Audio is not liable for:

Any indirect or consequential damages,
Loss of profit,
Any issue arising from the use or misuse of the Content.

6. Termination

This license is perpetual but will automatically terminate if you breach any of its terms. Upon termination, you must stop using the Content in new Projects, but previously released Projects may remain published.

8. Governing Law

This Agreement shall be governed by and interpreted according to the laws of North Macedonia. You agree to submit to the jurisdiction of the courts located in North Macedonia.
